These Terms of Service (the “Terms”) are a binding agreement between you and the operator of SmartTrace (“SmartTrace,” “we,” “us,” or “our”). They govern your access to and use of the SmartTrace website, applications, dashboards, and related services (collectively, the “Service”). By creating an account, joining the open beta, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
You confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
SmartTrace is a US options structure platform. It presents market-structure information for informational and research purposes, which may include dealer exposure and related levels, options flow, dark-pool prints, smart-money disclosures (such as congressional and insider activity), market and sector context, charts, heatmaps, and related commentary or analytics.
The Service is not a broker-dealer, exchange, bank, investment adviser, commodity trading advisor, or other licensed financial-services firm. We do not execute orders, hold customer funds or securities, or provide personalized investment recommendations.
Features, coverage, latency, and data sources may change. Some capabilities may be limited to certain plans, geographies, or beta participants, or may be in development.
You must be at least eighteen (18) years of age and able to form a binding contract to use the Service. You may not use the Service if applicable law prohibits you from doing so, including because of sanctions, export-control, or similar restrictions. By using the Service, you represent and warrant that you meet these requirements.
You must register with a valid email address and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at support@smrttrace.com if you suspect unauthorized access. We may suspend or terminate accounts that we reasonably believe are compromised, shared, or used in violation of these Terms.
You may not share, sell, sublicense, or otherwise provide account access to any person who does not hold their own authorized access. One subscription or beta seat is for one natural person unless we expressly agree otherwise in writing.
The Service may be offered as a limited open beta. During a beta period, we may provide access to some or all features without charge, at our discretion, and without any guarantee of uptime, completeness, or continued availability.
Beta access may be modified, limited, or ended at any time. After beta, accounts may be converted to a free or paid plan as described on the pricing page or in a notice we send you. Beta participation does not create a right to future free Pro access or to any particular feature set.
The Service may offer free and paid plans. Current plan names, features, prices, billing intervals, and geographic availability are shown on the pricing page and at checkout. If there is a conflict, the price and billing terms displayed at checkout control.
Paid fees are generally shown in US dollars unless another currency is displayed at checkout. Taxes may be added where required. Payments are processed by third-party providers (currently including Stripe, and other processors or merchants of record we may use from time to time). Their terms also apply to the transaction. We do not store full payment-card numbers.
If a paid subscription lapses, is cancelled, or is not renewed, access may be reduced to a free or read-only tier, or ended, as described on the Service.
Paid subscriptions renew automatically at the end of each billing cycle until cancelled. By subscribing, you authorize us and our payment providers to charge the selected payment method for recurring fees, applicable taxes, and related charges.
You may cancel auto-renewal through the billing portal provided at checkout or by contacting support@smrttrace.com. Cancellation takes effect at the end of the current billing period unless we state otherwise. You retain paid access until that date if you have not violated these Terms.
Except where required by law, fees are non-refundable, including for partial billing periods, unused time, or cancelled subscriptions. If you believe a charge is incorrect, contact us within thirty (30) days so we can review it. If a Service outage lasts more than forty-eight (48) consecutive hours due to a cause within our reasonable control, we may, at our option, extend the affected paid term on a pro-rata basis.
If you are a consumer in the European Union or the United Kingdom, you may have a statutory right of withdrawal of fourteen (14) days from the start of a digital subscription, unless you have expressly consented to immediate provision of the digital service and acknowledged that the right of withdrawal is lost once the service has begun. Where you start the Service immediately at checkout, you expressly waive that right to the extent permitted. Non-waivable consumer rights under your local law are preserved.
All information, data, charts, scores, AI-generated text, alerts, and other materials available through the Service are for informational, educational, and research purposes only. Nothing on the Service is investment advice, financial advice, trading advice, tax advice, legal advice, or a solicitation or recommendation to buy, sell, or hold any security, option, or other instrument.
Options and other derivatives involve substantial risk of loss and are not suitable for every investor. You may lose some, all, or more than the amount you invest. Past performance, historical prints, back-tests, and analytical outputs do not guarantee future results. You are solely responsible for your decisions and should independently verify information and, where appropriate, consult a licensed adviser before acting.
The Service and its content — including software, dashboards, layouts, charts, visualizations, text, graphics, logos, and the SmartTrace name and marks — are owned by us or our licensors and are protected by intellectual property laws. Upstream market data remains the property of the relevant exchanges, vendors, or public-data sources.
Subject to these Terms and any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal, non-commercial research. No other license is granted.
Market data, derived analytics, and visualizations shown in the Service (“Content”) are licensed only for your personal use during authorized access. You may not resell, republish, or systematically redistribute Content, including raw or near-raw vendor data.
Prohibited redistribution includes, without limitation:
Permitted uses include capturing screenshots or delayed recordings for personal notes, education, or commentary, and discussing Content in writing after the fact, provided you do not create a real-time or systematic redistribution channel. If you are unsure, contact support@smrttrace.com before proceeding. Violation may result in immediate suspension or termination without refund.

The Service depends on third parties for hosting, authentication, databases, payments, analytics, in-product text generation, and market data. We are not responsible for third-party outages, delays, errors, omissions, or changes to their terms. Third-party terms and privacy policies apply to their processing.
We may modify, suspend, or discontinue any part of the Service at any time. Where practical, we will provide notice of material changes affecting active paid subscribers. We are not liable for delay or failure caused by events beyond our reasonable control, including internet or telecommunications failures, third-party data or cloud outages, government action, or other force-majeure events.
We may suspend or terminate your access if we reasonably believe you have violated these Terms, created legal or security risk, abused the Service, or failed to pay amounts due. You may stop using the Service at any time and may cancel a paid subscription as described above. Sections that by their nature should survive — including fees already incurred, intellectual property, acceptable use, disclaimers, limitation of liability, and indemnification — will survive termination.
To the maximum extent permitted by law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service or any data will be accurate, complete, timely, uninterrupted, secure, or error-free.
To the maximum extent permitted by law, SmartTrace will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost trading opportunities, lost data, or loss of goodwill, arising out of or related to the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) fifty US dollars (US$50) if you have not paid us during that period.
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence where such exclusion is prohibited, or for any non-waivable consumer-protection rights you may have in your country of residence.
You will indemnify and hold harmless SmartTrace and its operators, officers, and contractors from claims, damages, losses, and reasonable expenses (including legal fees) arising out of your use of the Service, your trading or investment decisions, your Content redistribution, or your violation of these Terms or applicable law.
We may update these Terms from time to time. The “Last updated” date above reflects the latest revision. Material changes will be communicated by email or by notice on the Service where practical. Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles. You and SmartTrace will first attempt to resolve any dispute through good-faith negotiation. If the dispute is not resolved within thirty (30) days after written notice, it may be submitted to a court of competent jurisdiction.
Nothing in this section limits any non-waivable right of a consumer under the mandatory law of the consumer’s country of residence to bring proceedings in the courts of that country.
